Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and 734 Edge LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of the 734edge.com website.

2. Services Provided

734 Edge LLC provides bespoke software development, systems integration, and managed web hosting services. Each custom project is governed by a separate Statement of Work (SOW) or Proposal which outlines specific milestones and deliverables.

3. Fees and Payment

• Bespoke Development: Fees are billed based on project milestones. Invoices are issued via Stripe/Found and are due upon receipt unless otherwise specified.
• Managed Hosting: Hosting services are billed on a recurring monthly or annual basis. Failure to pay hosting fees may result in temporary suspension of services.

4. Refund & Cancellation Policy

• Managed Hosting: You may cancel your hosting subscription at any time. Upon cancellation, your service will remain active until the end of the current billing cycle. No partial refunds are provided.
• Bespoke Engineering: Fees paid for completed and approved project milestones are non-refundable. This reflects the labor-intensive nature of custom software engineering.

5. Intellectual Property Rights

Unless otherwise specified in a signed Statement of Work, upon full and final payment, 734 Edge LLC grants the client a non-exclusive, perpetual license to use the custom software developed. 734 Edge LLC retains ownership of any pre-existing "base" code, libraries, or methodologies used in the project.

6. Limitation of Liability

To the fullest extent permitted by law, 734 Edge LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data. Our total liability for any claim shall not exceed the amount paid by you to the Company in the six (6) months preceding the claim.

7. Governing Law

These terms shall be governed by and defined following the laws of the State of Michigan. 734 Edge LLC and yourself irrevocably consent that the courts of Washtenaw County, Michigan, shall have exclusive jurisdiction to resolve any dispute.
